Terms of Use

1. These Terms of Use describes the terms on which you may access and use services of The Slideteria Website.
2. BY VISITING AND/OR USING THIS WEBSITE (collectively, including all Content available through the www.Slideteria.com domain name, the “Slideteria Website”, or the “Website”), YOU SIGNIFY THAT YOU HAVE READ, UNDERSTOOD AND AGREE TO BE BOUND BY THESE TERMS OF USE, THE TERMS AND CONDITIONS OF SLIDETERIA PRIVACY POLICY AND PAYMENT AND REFUNDS TERMS, WHICH ARE INCORPORATED HEREIN BY REFERENCE (“Terms of Serivce”), WHETHER OR NOT YOU ARE A REGISTERED MEMBER OF SLIDTERIA (“Member”).
3. These Terms of Service apply to all users of the Slideteria Website, including users who are also Submitters of content, information, and other materials or services on the Website. The Slideteria Website includes all aspects of Slideteria, including but not limited to all products, software and services offered via the website such as the Slideteria channels, the Slideteria “Embeddable Player,” the Slideteria “Uploader” and other applications.
4. The owner of the Site is Oneclix LCC (“Slideteria”).

The Use of Slideteria Website

5. Slideteria hereby grants you permission to use the Website as set forth in this Terms of Service, provided that:
• your use of the Website as permitted is solely for your personal, noncommercial use;
• you will not copy or distribute any part of the Website in any medium without Slideteria’s prior written authorization;
• you will not alter or modify any part of the Website other than as may be reasonably necessary to use the Website for its intended purpose;
• you will otherwise comply with the terms and conditions of these Terms of Service.
6. You agree not to use or launch any automated system, including but not limited to “robots,” “spiders,” “offline readers,” etc., that accesses the Website in a manner that sends more request messages to the Slideteria servers in a given period of time than a human can reasonably produce in the same period by using a convention on-line web browser. Notwithstanding the foregoing, Slideteria grants the operators of public search engines permission to use spiders to copy materials from the site for the sole purpose of creating publicly available searchable indices of the materials, but not caches or archives of such materials. Slideteria reserves the right to revoke these exceptions either generally or in specific cases. You agree not to collect or harvest any personally identifiable information, including account names, from the Website, nor to use the communication systems provided by the Website for any commercial solicitation purposes. You agree not to solicit, for commercial purposes, any users of the Website with respect to their User Submissions.

Membership

7. In order to access some features of the Website, you will have to create an account. When creating your account, you must provide accurate and complete information.
8. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify Slideteria immediately of any breach of security or unauthorized use of your account. Although Slideteria will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of Slideteria or others due to such unauthorized use.
9. Membership in the Website is void where prohibited. The Slideteria service is not available to minors under the age of 13, or to any users suspended or removed from the Slideteria website for any reason.
10. Users may not have more than one active account. You may never use another's account without permission. Additionally, users are prohibited from selling, trading, or otherwise transferring their Slideteria accounts to another party.

Changing, Cancelling and Termination of Membership

11. There are several plan levels for accounts depending on provided services. You can change (upgrade or downgrade) plan level in any time. Downgrading your plan level may cause the loss of content, features, or capacity of your Account. Slideteria does not accept any liability for such loss.
12. You are solely responsible for properly canceling your account. An email or phone request to cancel your account is not considered cancellation. You can cancel your account at any time by clicking on the Account link in the global navigation bar at the top of the screen. The Account screen provides a simple no questions asked cancellation link. All of your Content will be immediately deleted from the Service upon cancellation. This information can not be recovered once your account is cancelled.
13. In accordance with the Digital Millennium Copyright Act (DMCA) and other applicable law, Slideteria has adopted a policy of terminating, in appropriate circumstances and at Slideteria's sole discretion, Members who are deemed to be repeat infringers. Slideteria will terminate a User's access to its Site, if they are determined to be a repeat infringer. A repeat infringer is a User who has been notified of infringing activity more than twice and/or has had a Submission removed from the Site more than twice. Slideteria may also at its sole discretion limit access to the Slideteria website and/or terminate the memberships of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.
14. Slideteria, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service, or any other Slideteria service, for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all Content in your Account. Slideteria reserves the right to refuse service to anyone for any reason at any time.

Submission

15. If you are a Submitter, you understand that whether or not your Submissions are displayed or otherwise made available, Slideteria does not guarantee any confidentiality or security with respect to any such Submissions.
16. You shall be solely responsible for your Submissions and the consequences of posting or publishing them. In connection with Submissions, you affirm, represent, and/or warrant that:
• you own or have the necessary licenses, rights, consents, and permissions to use and authorize Slideteria to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all Submissions to enable inclusion and use of the Submissions in the manner contemplated by the Site and these Terms of Service; and
• you have the written consent, release, and/or permission of each and every identifiable individual person in the Submission to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of the Submissions in the manner contemplated by the Site and these Terms of Service.
17. Nothing in these Terms of Service change, affect or diminish in any way whatever rights Submitters may have in the Submissions. By submitting the Submissions to Slideteria, however, you hereby grant Slideteria a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Submissions in connection with the Site and Slideteria's business, including without limitation for promoting and redistributing part or all of the Site (and derivative works thereof) in any media formats and through any media channels. You also hereby grant each user of the Site a non-exclusive license to access your Submissions through the Site, and to use, reproduce, distribute, prepare derivative works of, display and perform such Submissions as permitted through the functionality of the Site and under these Terms of Service.
18. You hereby represent and warrant that you will not:
• upload to or make available via the Site any Submission containing material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant Slideteria all of the license rights granted herein;
• publish falsehoods or misrepresentations that could damage Slideteria or any third party;
• submit material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate;
• post advertisements or solicitations of business;
• impersonate another person.
19. Slideteria does not permit copyright infringing activities and infringement of intellectual property rights on its Site, and will remove all Submissions if properly notified that such Submission infringes on another's intellectual property rights. Slideteria reserves the right to remove Submissions without prior notice. Slideteria also reserves the right to decide whether any Submission is appropriate and complies with these Terms of Service for violations other than copyright infringement and violations of intellectual property law, such as, but not limited to, pornography, obscene or defamatory material, or excessive length. Slideteria may remove such Submissions and/or terminate a User's access for uploading such material in violation of these Terms of Service at any time, without prior notice and at its sole discretion.
20. Submitters understand and agree that third-party advertising, in any commercially reasonable format, made available to users of the Website, including in connection with uploaded Submissions. Submitters expressly agree that they shall not be entitled to any sharing or other compensation whatsoever for any revenue generated by (or received by Slideteria for) the display of any such advertisements.

Intelectual property rights

21. Slideteria Content, and Submissions made available on or via the Site, are provided for your information and personal use only and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of Slideteria or the respective owners of such Submissions. Slideteria reserves all rights not expressly granted in and to the Site and the Slideteria Content.
22. You agree to not engage in the use, copying, or distribution of any of the Slideteria Content or Submissions, other than expressly permitted herein, including any use, copying, or distribution of Submissions of third parties obtained through the Site for any commercial or service bureau purposes. If you download or print a copy of any Slideteria Content or Submissions for personal use, you must retain all copyright and other proprietary notices contained therein.
23. Without limiting the foregoing, if you believe that your work has been copied and posted on the Slideteria Services in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information:
    • an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
    • a description of the copyrighted work that you claim has been infringed;
    • a description of where the material that you claim is infringing is located on the Slideteria Website;
    • your address, telephone number, and email address;
    • your address, telephone number, and email address;
    • a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

24. You agree not to circumvent, disable or otherwise interfere with security related features of the Site or features that prevent or restrict use or copying of any Slideteria Content or Submissions, or enforce limitations on use of the Site or the Slideteria Content or Submissions displayed or made available therein.
25. All content on the Site, other than the Submissions displayed on the Site or otherwise made available via the Site, including without limitation, the text, software, scripts, graphics, photos, sounds, music, videos, interactive features and the like and the trademarks, service marks and logos contained therein, are owned by or licensed to Slideteria.

Disputes solving

26. You are solely responsible for your interactions with other Sledeteria users. Slideteria reserves the right, but has no obligation to monitor disputes between you and other users.
27. All disputes arising from using Slideteria Website and in connection with it shall be decided with final validity by an arbitrator appointed by the Arbitration Centre IT&L in accordance with its Rules presented on site www.it-l.eu/arbitration-centre/. The dispute shall be decided in accordance with the principles of equity (ex aequo et bono) in English language. This arbitration procedure is compulsory for disputes between Slideteria and Users and between Users each other.
28. Any third person who believes its rights were infringed may take proceedings desciribed hereinbefore against Slideteria and/or User. The proceedings are for Slideteria and Users compulsory.

Disclaimer of Warranties and Limitation of Liability

29. The Slideteria website displays and/or makes available materials and links to the files in a variety of formats (such materials, and files that are linked from the Website, are collectively referred to as the "Submissions"), which are uploaded or linked to by Submitters, over whom Slideteria exercises no control. Slideteria cannot and does not screen the Submissions before or after allowing them to be made available to third parties. Submissions may contain material or links to files that some people find objectionable, inappropriate, or offensive. We cannot guarantee that any Submissions made available via the Website will be free of objectionable content. We therefore assume no responsibility for any Submissions on, or otherwise linked to, the Site.
30. You understand that when using the Slideteria Site, you will be exposed to Submissions from a variety of sources, and that Slideteria is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such Submissions. You further understand and acknowledge that you may be exposed to Submissions that are inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against Slideteria with respect thereto, and agree to indemnify and hold Slideteria harmless to the fullest extent allowed by law regarding all matters related to your use of the Site.
31. Slideteria does not endorse any Submission or any opinion, recommendation, or advice expressed therein, and Slideteria expressly disclaims any and all liability in connection with Submissions.
32. The Slideteria may contain links to third party websites that are not owned or controlled by Slideteria. Slideteria assumes no responsibility for, the content, privacy policies, or practices of any third party websites. By using the Website, you expressly relieve Slideteria from any and all liability arising from your use of any third-party website. Accordingly, we encourage you to be aware when you leave the Website and to read the terms and conditions and privacy policy of each other website that you visit.
33. TO THE FULLEST EXTENT PERMITTED BY LAW, SLIDETERIA DISCLAIMS ANY RESPONSIBILITY FOR THE DELETION, FAILURE TO STORE, MISDELIVERY, OR UNTIMELY DELIVERY OF ANY SUBMISSIONS.
34. THE SLIDETERIA SERVICES, AND ALL SUBMISSIONS AND OTHER MATERIALS, INFORMATION, PRODUCTS AND SERVICES INCLUDED IN OR MADE AVAILABLE IN CONNECTION WITH THE SLIDETERIA SERVICES ARE PROVIDED WITH NO WARRANTIES WHATSOEVER. SLIDETERIA DISCLAIMS ANY WARRANTIES REGARDING THE ACCURACY, SECURITY, RELIABILITY, TIMELINESS, AND PERFORMANCE OF THE SLIDETERIA SERVICES. SLIDETERIA DISCLAIMS ANY WARRANTIES FOR ANY INFORMATION OR ADVICE OBTAINED THROUGH ANY SUBMISSION OR ANY SLIDETERIA SERVICE. SLIDETERIA DISCLAIMS ANY WARRANTIES FOR SERVICES OR GOODS RECEIVED THROUGH OR ADVERTISED ON THE SITE OR IN CONNECTION WITH ANY SLIDETERIA SERVICES OR RECEIVED THROUGH ANY LINKS PROVIDED BY THE SLIDETERIA SERVICES, AS WELL AS FOR ANY INFORMATION OR ADVICE RECEIVED THROUGH ANY LINKS PROVIDED IN THE SLIDETERIA SERVICES.
35. YOU AGREE THAT YOUR USE OF THE SITE AND ALL SUBMISSIONS SHALL BE AT YOUR SOLE RISK. YOU UNDERSTAND AND AGREE THAT YOU DOWNLOAD OR OTHERWISE OBTAIN MATERIAL OR DATA THROUGH THE USE OF THE SLIDETERIA SERVICES, INCLUDING BUT NOT LIMITED TO ANY SUBMISSION(S) AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH MATERIAL OR DATA, INCLUDING SUBMISSIONS.
36. SLIDETERIA ASSUMES NO LIABILITY OR RESPONSIBILITY FOR, AND IN NO EVENT SHALL SLIDETERIA BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM, ANY
• PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SITE,
• ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN,
• ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SITE,
• ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SITE, OR SITES LINKED TO BY THIS SITE, BY ANY THIRD PARTY, AND/OR
• ANY ERRORS OR OMISSIONS IN ANY SUBMISSION(S) OR OTHER CONTENT MADE AVAILABLE BY SLIDETERIA, OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY SUBMISSION(S) OR OTHER CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SLIDETERIA IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.
37. UNDER NO CIRCUMSTANCES SHALL SLIDETERIA BE HELD LIABLE FOR ANY DELAY OR FAILURE IN PERFORMANCE RESULTING DIRECTLY OR INDIRECTLY FROM ACTS OF NATURE, FORCES, OR CAUSES BEYOND ITS REASONABLE CONTROL, INCLUDING, WITHOUT LIMITATION, INTERNET FAILURES, COMPUTER EQUIPMENT FAILURES, TELECOMMUNICATION EQUIPMENT FAILURES, OTHER EQUIPMENT FAILURES, ELECTRICAL POWER FAILURES, STRIKES, LABOR DISPUTES, RIOTS, INSURRECTIONS, CIVIL DISTURBANCES, SHORTAGES OF LABOR OR MATERIALS, FIRES, FLOODS, STORMS, EXPLOSIONS, ACTSOF GOD, WAR, GOVERNMENTAL ACTIONS, ORDERS OF DOMESTIC OR FOREIGN COURTS OR TRIBUNALS, NON-PERFORMANCE OF THIRD PARTIES, OR LOSS OF OR FLUCTUATIONS IN HEAT, LIGHT, OR AIR CONDITIONING.
38. SLIDETERIA DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SITE OR ANY HYPERLINKED WEBSITE OR FEATURED IN ANY ADVERTISING, AND SLIDETERIA WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.
39. YOU SPECIFICALLY ACKNOWLEDGE THAT SLIDETERIA SHALL NOT BE LIABLE FOR USER SUBMISSIONS OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

General

40. These Terms of Service, and any rights and licenses granted herein, may not be transferred or assigned by you, but may be assigned by Slideteria without restriction.
41. Slideteria may modify or terminate any services offered by Slideteria from time to time, for any reason, and without notice, including the right to terminate with or without notice, without liability to you, any other user or any third party.
42. Slideteria reserves the right to modify these Terms of Service in our sole discretion without notice at any time and from time to time. Please review these Terms of Services from time to time so that you will be apprised of any changes. If you do not agree to any of these terms, then please do not use this Site or any Slideteria services. Slideteria reserves also the right at any time discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.
43. You affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Service, and to abide by and comply with these Terms of Service. These Terms of Service constitute the entire agreement between the parties with respect to the Site and any Services provided or offered by Slideteria.
